1. Subscription Plan and Price

You are subscribing to LF Toolkit at the Startup plan for $599/month, with a 14-day free trial. Your selected tier and billing cycle are reflected in the order summary on this page.

2. Auto-Renewal

Your subscription will automatically renew each billing period at the same price unless you cancel before the next billing date. By agreeing, you authorize Laguna Foundry LLC to charge your payment method automatically on each renewal date until you cancel. You can review your next renewal date and amount at any time from your account dashboard.

3. Free Trial Terms

Your card will not be charged during the 14-day free trial. You may cancel at any time during the trial to avoid charges. After day 14, your selected plan begins at the price shown above and recurs on the same day each billing period.

4. Cancellation

You can cancel at any time from your account dashboard. There are no cancellation fees. If you cancel, you retain access to the service through the end of your current paid billing period. Cancellations take effect at the end of that period and are not pro-rated for partial periods.

5. Usage-Based Fees

Phone numbers, SMS messages, voice calls, email sends, and AI tokens are billed as you consume them, in addition to your subscription fee. Current rates and your running totals are visible in your account dashboard. Usage charges are billed monthly or whenever your usage balance crosses a posted threshold.

6. Add-Ons

Optional add-ons not included in your selected plan are billed separately at the rates displayed when you add them. Add-ons follow the same auto-renewal and cancellation terms as the base subscription.

7. Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe a charge is in error, please raise the dispute within 30 days at [email protected] so we can investigate and respond.

8. Service Changes

We may update features, integrations, and pricing with at least 30 days notice. Material changes give you the right to cancel before they take effect, and we will not charge you under the new terms unless you continue your subscription past the effective date.

9. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please use a strong, unique password and notify us immediately at [email protected] if you suspect unauthorized access.

10. Acceptable Use

You agree not to use the service for spam, fraud, illegal content, harassment, deceptive practices, or any prohibited activity. We may suspend or terminate accounts that violate these rules, our acceptable-use policies, or the terms of any integrated third-party platform.

11. Data and Privacy

Your use of the service is governed by our Privacy Policy at lagunafoundry.com/privacy/. You retain ownership of the content and customer data you upload; we process it only as necessary to deliver the service, support you, and meet legal obligations.

12. Third-Party Services

The Toolkit relies on third-party CRM infrastructure and integrates services including Stripe for payment processing, Twilio for telephony and messaging, OpenAI for AI features, and other providers we may add over time. Your use of these features is also subject to the terms of those providers, and certain functionality may depend on their availability.

13. Limitation of Liability

The service is provided on an "as is" and "as available" basis, without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the service is capped at the fees you paid us in the previous 12 months.

14. Governing Law and Dispute Resolution

This agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. Any disputes that cannot be resolved informally will be resolved by binding arbitration in Orange County, California, except where such resolution is prohibited by law or where small-claims court is the appropriate forum.

15. Termination by LF

We may terminate or suspend your account for breach of these terms, abusive behavior, fraud, or activity that puts our infrastructure or other customers at risk. We will provide notice when reasonably possible and a chance to cure where appropriate.

16. Updates to This Agreement

We may update this agreement from time to time. We will provide notice of material changes by email or in-app message, and continued use of the service after the effective date of the update constitutes acceptance of the new terms.
